Licensing models (template)

Pick one model per product unless you intentionally support multiple.

Model How it works What to specify
One-time license Customer pays once for a perpetual license to use the software. Scope (Internal business use), seats (1), updates (30 days included), support (30 days included).
Subscription Customer pays monthly/annual for ongoing access. Billing cycle (monthly), cancellation terms, renewal rules, feature tiering.
Enterprise / WHMCS (licensed) Contract + provisioning via WHMCS or internal license keys. Allowed environments, SSO requirements, security obligations, audit rights (None), SLA (Business).
Seat-based Pricing scales with number of users/seats. Seat definition, provisioning, overage, true-up cadence.
Usage-based Pricing scales with consumption (API calls, runs, data volume). Meter definition, included usage, overage rates, reporting.

Commercial terms (starter)

  • Refunds: No refunds after delivery (digital goods) (digital goods often: limited/no refunds once delivered)
  • Trials: None
  • Renewal: Auto-renew monthly unless cancelled
  • Taxes: Customer responsible for applicable taxes (where applicable)

  • License grant: define scope, term, and permitted use
  • Restrictions: no resale, no reverse engineering (as appropriate)
  • IP: CVG retains IP; customer receives license (unless otherwise agreed)
  • Liability: cap liability; exclude consequential damages (typical)
  • Security: define data handling + breach notification process for enterprise
